White Label Wholesale Terms & Conditions

(Resale of Herbal Tea Products)

 Reseller: Anyone who purchases Wholesale products from our Site

These Wholesale Terms and Conditions (“Wholesale Terms”) supplement and incorporate our General Terms and Conditions. By placing a wholesale order, you agree to both these Wholesale Terms and our General Terms. If there is a conflict between the two, these Wholesale Terms will apply to wholesale orders.

 

1. Eligibility

Reseller must be a legitimate business entity authorized to sell consumer goods. Reseller agrees to purchase herbal tea products ("Products") for resale under its own exclusive brand with no reference to Supplier.

 

 

2. Orders & Minimums

  • Minimum Order Quantity (MOQ): As listed on our website. The shopping cart will not permit checkout at under MOQ.

  • Orders must be submitted through the Supplier’s online ordering system. No wholesale account is used.

  • Lead time for production and private label packaging is typically 3 days from order confirmation and receipt of payment/deposit, but is subject to change.

 

 

3. Pricing & Payment

  • Wholesale pricing will be kept up-to-date on the Supplier’s website and may change at any time.

  • Payment terms: 100% prior to shipment


 

4. Shipping & Delivery

  • Shipping fees are the responsibility of Reseller unless otherwise arranged.

  • Title and risk of loss transfer to Reseller upon Supplier’s delivery to carrier.

  • Supplier is not liable for carrier delays, customs clearance, or force majeure events.

 

 

5. Branding & White Label Use

  • Products will be delivered with no Supplier branding. Reseller is responsible for applying its own branding, labels, and packaging.

  • Reseller must not represent Supplier as the manufacturer or disclose Supplier’s identity to consumers.

  • All marketing, sales, and labeling compliance are the sole responsibility of Reseller.



 

 

6. Returns & Refunds

  • Due to the consumable nature of the Products, all sales are final.

  • Damaged or defective Products must be reported within 30 days of receipt. Supplier may, at its discretion, issue a credit or replacement.

 

 

7. Product Representation & Compliance

  • Supplier provides Products as herbal teas only and makes no medical claims.

  • Reseller is solely responsible for ensuring compliance with all applicable labeling, safety, and marketing laws in its territory of sale.

  • Reseller may not modify the Product formulation without written approval from Supplier.

 

 

8. Intellectual Property & Confidentiality

  • Supplier retains all ownership of formulas, processes, and proprietary information.

  • Reseller may not disclose or reproduce Supplier’s intellectual property.

  • White label arrangements do not transfer ownership of formulas or production rights.

9. Indemnification

Reseller agrees to indemnify, defend, and hold Supplier harmless against any claims, liabilities, or expenses resulting from Reseller’s marketing, branding, sales, or distribution of the Products.

Reseller will maintain their own General Liability and Product Liability Insurance, with limits of $1 million occurrence and $2 million aggregate, naming the supplier as an additional insured on a primary and non-contributory basis with waiver of subrogation. Evidence of such coverage is a required before a purchase is made.

 

 

10. Termination

Supplier may suspend or terminate wholesale privileges for:

  • Breach of these Terms,

  • Non-payment, or

  • Actions that could damage Supplier’s reputation or intellectual property.

 

 

11. Governing Law

This Agreement is governed by the laws of the Commonwealth of Massachusetts, without regard to conflict-of-laws principles.

 

 

Acknowledgment & Acceptance
 By placing a wholesale white label order, Reseller acknowledges and agrees to these Terms & Conditions.
